DIRECTV to Utilise New Low Cost Platform and TiVo Technology For FutureService Development

EL SEGUNDO and SAN JOSE, CA – February 21, 2002 – DIRECTV, Inc. and TiVoInc. (NASDAQ:TIVO) announced today an expanded strategic relationship whichpositions TiVo as the primary provider of digital video recording (DVR)technology for DIRECTV’s integrated digital satellite receivers in the US.

TiVo and DIRECTV will develop the new advanced DIRECTV receiver, based onTiVo’s recently announced low-cost platform. The new, easy to use productwill enable DIRECTV to offer customers a suite of DVR-based services andcapabilities. In addition, DIRECTV will continue to market and distribute thecurrent DIRECTV(r) Receiver with TiVo service, which is available nationwideat leading US consumer electronic retailers.

Today’s announcement represents a significant broadening of the relationshipbetween DIRECTV and TiVo, who jointly introduced the first DIRECTV receiverwith DVR technology in the US in October 2000. Under the new agreement,DIRECTV will be able to utilise the new platform and the TiVo technology todevelop and launch new services either by itself, with TiVo or in conjunctionwith third parties. As part of the new arrangement, DIRECTV will assumeprimary responsibility for customer acquisition and support, as well aspackaging and branding of DIRECTV’s DVR services. In addition, DIRECTV hasagreed to distribute TiVo services that will enable advanced automaticrecording capabilities and the delivery of promotional video to the receiver’shard-disk drive.

DIRECTV and TiVo will collaborate on the development of the new advancedDIRECTV Receiver utilising TiVo technology to ensure that the product will beavailable for the 2002 Christmas period.

The current DIRECTV Receiver(r) with TiVo is available in the US from Philips,Sony and Hughes Network Systems. This integrated product allows consumers topersonalise their viewing experience among the more than 225 digital-qualitychannels available from DIRECTV. With this product The TiVo service allowsviewers to easily find and schedule their favorite television showsautomatically and digitally record up to 35 hours of video content* withoutthe use of videotape.
